United Research Group LLC
Terms of Use
Version: 3.0
Effective Date: October 26, 2026
1. Website Purpose and Acceptance
United Research Group LLC (“URG,” “we,” “our,” or “us”) is a Wyoming-organized clinical research site management organization headquartered in Raleigh, North Carolina. These Terms govern access to and use of www.urgsites.com and its publicly accessible information, features, and submission forms.
Please review these Terms before using the website or submitting information. Where URG requests affirmative acceptance, you agree to these Terms by selecting the applicable acknowledgment and proceeding with the submission. For website activities that do not involve affirmative acceptance, these Terms describe URG’s conditions for permitted access and use, but do not independently establish that a visitor has agreed to every contractual provision. If you do not agree, discontinue use of the website.
These Terms govern website use only. Clinical trial participation, employment, independent contracting, investigator engagement, site partnerships, and other relationships may be subject to separate notices, eligibility reviews, regulatory requirements, and written agreements.
2. Informational Content; Clinical Research; No Guarantees
Website content is provided for general informational and professional purposes. It does not constitute medical advice, diagnosis, treatment, or a determination of eligibility for any clinical trial, and is not a substitute for advice from a qualified healthcare professional. The website is not intended to screen or enroll clinical trial participants and is not an emergency reporting channel. In an emergency, contact emergency services or an appropriate healthcare professional.
Submitting an inquiry, investigator application, curriculum vitae, or partnership expression of interest does not guarantee study participation, selection, employment, contracting, compensation, site approval, collaboration, funding, or any other outcome. A submission alone does not establish an employment, agency, contractor, fiduciary, exclusive, partnership, or other formal professional relationship. A binding relationship requires appropriate review and, where applicable, a separate executed agreement.
3. Permitted Use and Website Security
Users must use the website lawfully and must not access or attempt to access restricted website areas, accounts, systems, or information without authorization; interfere with website operations; misuse authentication credentials; introduce malicious software; misrepresent identity or authority; or submit information that violates another person’s privacy, confidentiality, intellectual-property, or other rights.
Automated scraping, harvesting, bulk extraction, or collection of website information is prohibited except where expressly authorized by URG or permitted by applicable law.
Security testing, vulnerability scanning, and penetration testing require URG’s prior written authorization. Any authorization must identify the permitted systems, testing methods, duration, and restrictions. URG may revoke authorization in writing, subject to any controlling agreement. Activities outside the authorized scope remain prohibited except where protected by applicable law.
Potential vulnerabilities may be reported to security@urgsites.com. Reporting a concern does not independently authorize further testing or access to restricted systems. Nothing in this section prohibits conduct protected by applicable law.
General inquiries and applicant forms are not intended to receive patient medical records, identifiable clinical trial participant information, protected health information, Social Security numbers, financial credentials, or other sensitive information not expressly requested through an authorized process.
4. Intellectual Property and Website Materials
URG names, logos, original website text, graphics, designs, and other materials may be protected by intellectual-property rights belonging to URG or their respective owners. URG grants visitors a limited, nonexclusive, revocable permission to access publicly available content for lawful personal or internal informational purposes. Website access does not transfer ownership or authorize commercial redistribution, unauthorized copying, modification, or derivative works. Third-party materials and marks remain the property of their owners.
Applicants retain ownership of original materials they submit, subject to third-party rights and the limited permissions in Section 5. Feedback voluntarily provided may be considered for operational improvement, subject to applicable confidentiality, privacy, and intellectual-property obligations; this provision grants no broader license to personal or confidential information.
5. Investigator Applications, CVs, and Submitted Materials
Applicants retain ownership of their original curriculum vitae, résumés, credentials, and other submitted materials, subject to applicable third-party rights.
By submitting materials through an authorized website form, applicants grant URG a limited, nonexclusive, royalty-free permission to receive, reproduce as reasonably necessary, securely store, access, and evaluate those materials for the purposes described in the applicable submission process and Privacy Policy.
URG may make materials available to authorized personnel and service providers only as reasonably necessary for those purposes and subject to applicable confidentiality, security, and privacy requirements. Disclosure to prospective external professional partners must have an appropriate legal basis and comply with the Privacy Policy and any required consent. This permission does not transfer ownership, authorize public distribution, or permit unrelated commercial exploitation.
Applicants represent, to the best of their knowledge, that their information is accurate, that they are authorized to submit it, and that their submission does not improperly disclose third-party confidential information, protected patient information, or materials infringing another person’s rights.
Collection, use, sharing, retention, withdrawal requests, and disposal are governed by URG’s Privacy Policy Version 2.0, applicable law, and lawful preservation requirements. Submission does not guarantee selection, employment, contracting, partnership, or any professional relationship.
Sensitive information submitted through an unauthorized form: URG may, where lawful and reasonably appropriate, restrict access to, segregate, quarantine, or securely delete information that appears to include patient records, protected health information, financial credentials, government identification numbers, or other sensitive information not requested through an approved process. URG may retain or preserve such information when legally required, necessary to investigate a security incident, or necessary to comply with a lawful obligation. URG will assess any applicable notification, preservation, privacy, and security duties; this provision does not waive or reduce those duties or guarantee that an unauthorized submission can be immediately deleted.
6. External Links, Accuracy, and Availability
Third-party websites are operated by their respective owners. A link does not by itself establish URG endorsement, affiliation, sponsorship, or control. Review third-party terms and privacy notices separately.
URG seeks to maintain accurate and useful content but does not guarantee uninterrupted website availability or that all informational content is complete, current, or error-free. URG may update, suspend, or discontinue website features as reasonably necessary, subject to applicable law and controlling agreements.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, URG AND ITS MEMBERS, MANAGERS, OFFICERS (IF ANY), EMPLOYEES, AGENTS, AND AUTHORIZED SERVICE PROVIDERS, ACTING WITHIN THE SCOPE OF THEIR RESPECTIVE AUTHORIZED ROLES, SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO ACCESS TO OR USE OF THE PUBLIC WEBSITE, ITS INFORMATIONAL CONTENT, OR ITS GENERAL INQUIRY, PARTNER INQUIRY, OR INVESTIGATOR APPLICATION FUNCTIONS, WHETHER ASSERTED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANOTHER LEGAL THEORY, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE, EXCEPT WHERE SUCH AN EXCLUSION IS PROHIBITED BY LAW.
SUBJECT TO THE EXCEPTIONS BELOW, URG’S TOTAL AGGREGATE LIABILITY TO ANY ONE CLAIMANT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PUBLIC WEBSITE OR ITS WEBSITE SUBMISSION FUNCTIONS SHALL NOT EXCEED FIVE HUNDRED U.S. DOLLARS (US $500) IN THE AGGREGATE, REGARDLESS OF THE NUMBER OF CLAIMS OR LEGAL THEORIES. THIS CAP IS A PROPOSED RISK-ALLOCATION TERM FOR A WEBSITE THAT DOES NOT CHARGE USERS FOR GENERAL ACCESS; IT IS NOT A STATEMENT THAT THE CAP WILL BE ENFORCEABLE IN EVERY JURISDICTION. THE CAP DOES NOT APPLY TO CLAIMS OR REMEDIES THAT CANNOT LAWFULLY BE CAPPED.
Neither the damages exclusion nor the monetary cap limits liability for fraud, fraudulent misrepresentation, willful misconduct, or gross negligence to the extent limitation is prohibited by applicable law; death or personal injury to the extent limitation is prohibited; statutory damages, privacy or data-protection obligations, or other non-waivable rights and remedies; or obligations arising under a separate binding written agreement or applicable clinical research requirements. No provision limits liability to the extent doing so would violate applicable law. If the monetary cap is unenforceable as to a particular claim, the remaining lawful limitations shall continue to apply to the extent permitted.
The limits in this Section 7 apply solely to claims arising from the public website and its submission functions; they do not govern clinical trial participation, patient care, study-site operations, employment, independent contractor services, or separate professional or commercial agreements. Nothing here requires a user to waive any non-waivable legal right.
For purposes of this section, “URG” means United Research Group LLC; listed individuals and providers are intended beneficiaries of the stated protections only to the extent permitted by law and only for conduct within authorized duties. No person is authorized to bind URG merely because of their role or title.
8. Privacy and Personal Information
URG’s collection, use, disclosure, retention, and protection of personal information are described in its Privacy Policy Version 2.0, effective October 26, 2026. These Terms do not replace the Privacy Policy, expand consent for future professional opportunities, or override applicable privacy rights. Website use alone does not constitute consent to unrelated recruitment or marketing communications. Privacy requests may be directed to privacy@urgsites.com. Applicable mandatory privacy requirements control in the event of a conflict.
9. Governing Law and Disputes
These Terms shall be governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles, except where applicable federal law or other mandatory legal requirements control.
Subject to applicable law and any controlling written agreement, disputes arising under these Terms shall be brought exclusively in a court of competent jurisdiction in Wake County, North Carolina, or, where federal subject-matter jurisdiction exists, the United States District Court for the Eastern District of North Carolina. Each party consents to personal jurisdiction in those courts to the extent permitted by applicable law.
This provision does not override mandatory venue requirements, non-waivable jurisdictional protections, or dispute-resolution provisions contained in a controlling written agreement. These Terms do not impose mandatory arbitration or a class-action waiver.
10. Changes to These Terms
URG may revise these Terms to reflect changes in website operations, organizational practices, or legal requirements. Each adopted version will identify its version number and effective date. Material revisions will be communicated through an appropriate website notice or another method where required by law.
Changes apply prospectively from their stated effective date unless applicable law requires otherwise. Continued website use after an effective and properly communicated revision may constitute acceptance only to the extent permitted by applicable law; where affirmative consent is legally required, URG will seek it. Changes do not independently authorize new uses of personal information or override separate agreements or non-waivable rights.
11. Suspension and Termination of Website Access
URG may suspend, restrict, or terminate access to website functions where reasonably necessary to address suspected unauthorized access, security threats, unlawful activity, material violations of these Terms, or operational requirements. Any restriction shall be proportionate to the circumstances and consistent with applicable law and controlling agreements.
Where reasonably practicable and appropriate, URG may provide notice of a restriction and an opportunity to resolve the issue. Termination of website access does not automatically terminate separate professional or commercial agreements, eliminate existing legal obligations, or require deletion of information URG is lawfully required or permitted to retain.
Provisions concerning intellectual property, lawful limitations of liability, governing law, and obligations that by their nature should survive termination shall remain applicable to the extent enforceable.
12. Indemnification
To the extent permitted by applicable law, a user shall defend, indemnify, and hold harmless URG and its members, managers, officers (if any), employees, and agents against reasonable third-party claims, judgments, settlements, and documented costs (including reasonable attorneys’ fees) to the extent directly caused by the user’s (a) knowing or reckless unauthorized access to or material interference with website systems; (b) knowing material misrepresentation of authority to submit another person’s information; (c) knowing or reckless submission of materials that unlawfully infringe third-party intellectual-property, privacy, or confidentiality rights; or (d) other intentional unlawful conduct in connection with the website. Mere submission errors, ordinary good-faith disputes, and inadvertent inaccuracies do not independently trigger indemnification.
Indemnification applies only in proportion to the user’s legally attributable responsibility and does not extend to claims or losses caused by URG’s negligence, misconduct, unlawful acts, or failure to satisfy its independent legal duties. URG shall provide reasonably prompt written notice of a claim, permit the user to participate in a reasonable defense through qualified counsel, and cooperate reasonably at the user’s expense. URG may retain separate counsel at its own expense unless a material conflict reasonably requires otherwise. Neither party may settle a covered claim in a manner admitting fault or imposing a nonmonetary obligation on the other without that party’s prior written consent, not to be unreasonably withheld. No indemnification is required where prohibited by applicable law.
13. Severability; No Waiver; Separate Agreements
If any provision is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, the remaining provisions continue in effect to the extent permitted by applicable law. URG’s failure or delay in enforcing a provision does not waive its right to enforce that or another provision later. These Terms do not supersede separate written agreements unless those agreements expressly provide otherwise.
